Constraining Managers with Debt Financing

Many investors of different companies and fields often consider constraining managers with debt financing. More often than not we shareholds usually find ourselves at odds with the management. At times we find that their decisions do not in fact run parallel to the objectives that we carry. As such it is distinctly possible to assume that this agency problem will cause unnecessary internal conflicts, a situation which may consequently lead to the mismanagement of the firm. But you may be wondering, when exactly do these things happen? What causes these problems? Well for one thing, these usually occur when the corporation's managers have an abundance of cash on their hands. Now they may choose (as they often do) to spend it on other things which may not necessarily involve the maximization of the firm's stock price (which is and should be the goal of managers everywhere). Thus, it is said that when the supply of cash that these managers carry is purposefully limited, then less wasteful expenses will be incurred. Moving on, there are of course many ways by which this could be done. A quick perusal of the resources available in your neighborhood business library will and should give you the information that you need. If for whatever reason, you find this infeasible, you may want to check out the many different resources online as a guide. But just to site an example of a solution, it would be wise to push more of the cash flow back to the shareholders via stock repurchases and/or dividends. I believe that there are more solutions which you can find. Using debt financing however entails that the firm's capital structure be focused more on the liability side than on equity. This, in turn, will hopefully lead to a more disciplined and competent management team. While there are of course risks involved with constraining managers with debt financing, the pitfalls and merits of which continue to be worthy of discussion in this day and age.
